1. Acceptance of Terms

By accessing or using Ormind ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Ormind is an AI agent that researches, analyzes, and ships client-ready deliverables. The Service includes:

AI conversation, research, and analysis capabilities
Generation of interactive reports, websites, and slide decks
An HTML editor for reviewing and refining deliverables
Hosting of generated deliverables at shareable URLs
Document analysis, web research, and media creation tools
Shared dossiers ("Dossiers"): dossiers where several members gather documents, a wiki and deliverables, and work on them with the agent or with an AI assistant of their own

Shared dossiers

A dossier belongs to its owner, who decides who joins it and with which role. By joining a dossier you accept that its members see the content you add there, according to their role, and that your actions are recorded in its journal under your name. You are responsible for having the right to share the documents you drop into a workspace. The owner can remove members, revoke public links and delete the dossier at any time; deleting a dossier deletes its content for every member.

Your own AI assistant or subscription

You may connect a dossier to an AI assistant you already use (through its connector), or run your chats on your own Claude or ChatGPT subscription. Those assistants act with your rights, under your agreement with their vendor; usage they bill you is your responsibility.

Free-tier attribution badge

Deliverables generated on the Free plan include a visible "Made with Ormind" badge. Paid plans produce deliverables without the badge, under your own brand.

Your own API keys (BYOK)

You may connect your own AI-provider API keys to power your usage. Your keys are stored encrypted, used only to serve your requests, and can be removed at any time. Usage billed by your provider under your key is your responsibility.

Service Availability

We strive to provide reliable service, but cannot guarantee 100% uptime. We may modify, suspend, or discontinue features at any time with reasonable notice.

3. User Accounts and Eligibility

To use Ormind, you must:

Be at least 18 years old or have parental consent
Provide accurate and complete registration information
Maintain the security of your account credentials
Be responsible for all activities under your account

You are solely responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. Acceptable Use Policy

You agree not to use Ormind for:

Illegal activities or content that violates applicable laws
Generating harmful, abusive, or discriminatory content
Creating or distributing malware, viruses, or malicious code
Attempting to gain unauthorized access to systems or accounts
Violating intellectual property rights of others
Spamming or unsolicited commercial communications
Bypassing or attempting to bypass service limitations

Enforcement

We reserve the right to suspend or terminate accounts that violate these terms without prior notice. We may also report illegal activities to appropriate authorities.

5. Privacy and Data Protection

Your privacy is important to us. Our data practices include:

Collecting only necessary information to provide services
Storing conversation history for service improvement
Using industry-standard security measures
Not selling personal data to third parties

Data Processing

Content you submit may be processed by third-party AI services (Claude, OpenAI, etc.) as part of our service delivery. We implement appropriate safeguards for this processing.

6. Intellectual Property Rights

Your Content

You retain ownership of content you create or upload to Ormind. By using our Service, you grant us a limited license to process, store, and display your content solely for providing our services.

AI-Generated Content

Content generated by our AI systems is provided "as is" without warranty. You are responsible for ensuring any AI-generated content complies with applicable laws and regulations.

Our Service

The Ormind platform, including its design, functionality, and underlying technology, is owned by us and protected by intellectual property laws.

7. Payment Terms

Ormind offers a Free plan and paid subscriptions (Pro and Agency):

Payments are processed securely by Stripe; we never see or store your card details
Subscriptions are billed monthly or annually and renew automatically unless cancelled
Cancelling stops the next renewal; your plan stays active until the end of the paid period, then your account moves to the Free plan
30-day money-back guarantee: if you are not satisfied, request a full refund within 30 days of your first payment on a paid plan and we will refund it
We may change pricing with 30 days notice; changes never apply retroactively to an already-paid period

You can cancel or change your subscription at any time from the "Manage subscription" link in the app (Stripe billing portal), or by contacting us at contact@ormind.ai.

8. Disclaimers and Limitations

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Service Limitations

AI responses may contain errors or inaccuracies
Generated content should be reviewed before use
We do not guarantee availability or performance
Third-party integrations may have separate terms

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ormind and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you submit to the Service

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us.

Sections that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Governing Law and Jurisdiction

"Ormind" is a product operated and sold by Rene Derhy Import Export ("we", "us"), which is the contracting party for all paid plans and the merchant of record for every payment. Payments appear on your statement under that company's name. You can reach us at contact@ormind.ai.

These Terms are governed by the laws of the jurisdiction in which Rene Derhy Import Export is established, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by the competent courts of that jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Posting the updated Terms on our website
Sending email notifications to registered users
Providing in-app notifications

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and Ormind regarding the Service.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
